Provide legal advice to senior management of the organization to assist in decision-making process and compliance. Review and draft very complex contracts and other legal documents. Interface with senior internal stakeholders including Board of Directors, executive leadership, finance, sales, engineering manager, information security, and HR. Interact with external stakeholders including customers and vendors that require sophisticated negotiation skills. Structure, negotiate and execute legal transactions such as venture capital financing, mergers and acquisitions and similar transactions. Develop and revise contract templates. Drive efficiencies and facilitate time savings procesess. Ensure legal compliance with company policies and procedures as well as external regulatory compliance. Assist with the development of departmental policies, procedures, and best practices. Assist with the development and delivery of legal training to company’s employees. Draft and review master service agreements, statements of work, and other important agreements and contracts. Negotiate, write, and execute agreements and contracts with partners, vendors and customers. Provide legal research on a variety of legal issues. Advise executives within the company and work alongside employees in strategic business units, marketing, brand communication, sales, human resources, corporate alliances, and international dvisions. Advise executive on contract status and business partnership deals, venture capital financing/fundraising efforts and mergers and acquisitions. Draft terms and conditions in legal agreements. Ensure that contract obligations and objectives are met. Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Keep abreast of legislative changes that may affect the company and its affiliates. Perform pre-litigation research to minimize risks and maximize legal rights. Review advertising and marketing materials to ensure compliance with legal requirements. Provide solutions to complex legal questions, provide legal training to company and its affiliates on substantive topics. Engage in business development activities including working with potential customers in selling company’s products and services. Plan, direct, and coordinate the legal operations of the company including managing legal operations and planning the use of materials and human resources and perform duties such as purchasing and other legal services.
Requires Bachelor's Degree or foreign equivalent in Law (LLB), Juris Doctor (JD), or related field and current admission to California State Bar. Requires 5 years of experience in practicing corporate law as an associate at a law firm or in-house drafting, reviewing and negotiating complex strategic and other business contracts including joint venture agreements, venture capital, master-service agreements and statement of work, and strategic alliance/partnership agreements; working with various stakeholders and advising on legal and regulatory issues and facilitating informed decision making, and assisting with the development of departmental policies, procedures and best practices from a legal, regulatory and compliance standpoint. May require travel 10% of the time.
